Article 1Seller and contact

Speed Ecom LLP, a limited liability partnership under UK law, registered with Companies House under number OC432575, with its registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom. UK VAT number: GB355337687.

Contact: contact@speedflytheme.com, 7 days a week.

Business customers only. The offers on speedflytheme.com are designed and sold to create, run or grow a professional e-commerce business, including one that is being set up. They are not intended for personal, family or household use. By ordering, the customer declares that they act in this capacity and guarantees that the business and billing details they provide are accurate.

Article 2Definitions

• Speedfly: the Shopify theme sold since July 6, 2026 (Speedfly 6 and later versions).
• Speedfly Classic: the theme sold up to and including July 5, 2026 (versions 1 to 5), governed by article 10.
• SpeedFly One: the Shopify app that comes with the theme (updates, templates, guide, ideas), included with an active license under the conditions of article 11.
• License: the right to use Speedfly, embodied in a personal license key.
• Store: a Shopify store identified by its permanent .myshopify.com domain.
• Customer area: the customer's online area on speedflytheme.com (license, stores, downloads, subscription, invoices, support).
• Fix: work that restores or preserves the theme's compliant operation within its existing scope, in particular in the event of a bug, a security flaw or a change to Shopify.
• Feature update: delivery of new features within the same code base.
• New product: software developed independently, without substantially reusing the code base of an earlier product, and sold under its own contract and pricing, whatever its trade name.

Article 3Offers and prices

Every offer sold online includes a 14-day free trial (article 5). The number of stores covered is set out in article 8.

Prices are in euros, in every language of the website. The amount charged is exactly the amount shown on the order page when the order is confirmed. Speed Ecom LLP may change its prices for the future, with no effect on an order already confirmed (article 7.4).

VAT. The tax treatment depends on the place of establishment and tax status of the business customer. The customer states their country and, if they have one, their VAT number. The invoice shows the treatment applied, including the reverse charge where its legal conditions are met.

Article 4Ordering and formation of the contract

Orders are placed on the trial page of speedflytheme.com: choice of plan, details (first name, last name, email, company name, country, optional VAT number), the store's niche and a bank card. Before confirming, the customer can review the offer's features, its price, the date of the first charge and these terms.

Confirming the sign-up constitutes acceptance of these terms in the version displayed on that date, and confirmation that the customer acts for business purposes. The contract is formed upon this confirmation.

The customer account is created at that time. A welcome email, in the chosen language, contains the license key and access to the customer area. Signing in to the customer area is done with a link sent to the account's email address, without a password.

Article 514-day free trial

• The monthly and annual plans and the lifetime license sold online include a 14-day free trial. A bank card is required to start the trial, but nothing is charged during the trial.
• During the trial, the license is active: the customer has access to the theme, to SpeedFly One and to support.
• Unless cancelled before the end of the trial, the first charge takes place on day 15: the price of the chosen subscription, or the price of the lifetime license in one payment. A reminder email is sent the day before.
• The customer cancels the trial in one click from their customer area (Plan and invoices), or by email to contact@speedflytheme.com from their account's address. Nothing is then charged and the license ends at the end of the trial.
• The trial is offered once per customer. A customer who has already had one is charged as soon as their order is confirmed; the order page tells them so before any payment.

Article 6Payment

Payments are processed by Stripe (bank card and other methods offered on the order page). Speed Ecom LLP never stores the customer's card details. Subscriptions are charged on each renewal date; the lifetime license is charged in one payment at the end of the trial. An invoice is issued for each payment and remains downloadable in the customer area.

Failed payment. If a payment fails, new attempts are made and the customer receives an email with a secure link to update their card. The license remains valid during a 7-day grace period. If the situation is not resolved by the end of that period, the license expires.

For amounts owed by a business customer, any unpaid instalment gives rise, from the day after its due date and without prior reminder, to late-payment penalties at the rate applied by the European Central Bank to its most recent refinancing operation plus ten percentage points, which may not be lower than three times the legal interest rate, together with a fixed recovery fee of €40.

Article 7Term, cancellation and plan changes

7.1 Term. The subscription is taken out for one month or one year according to the chosen plan, and renews automatically for the same period until cancelled. The next renewal date is shown in the customer area.

7.2 Cancellation by the customer. The customer may cancel at any time, without reason and free of charge, from their customer area (Plan and invoices, "Cancel subscription") or by email to contact@speedflytheme.com from their account's address. Cancellation takes effect at the end of the paid period; access remains open until then and no pro rata refund is due for the period already started. Until the period ends, the customer can resume their subscription from their customer area.

7.3 Plan changes. Switching from monthly to annual takes effect immediately: the annual price is charged the same day and the new one-year period starts that day, with no interruption of the subscription. Switching from annual to monthly takes effect on the annual renewal date. The exact amounts are shown in the customer area before confirmation.

7.4 Price changes. Any price change applicable to a current subscription is notified by email at least 30 days before it takes effect. A customer who refuses it may cancel free of charge before that date; otherwise the new price applies from the next renewal. The price of a lifetime license already acquired is never changed.

7.5 Suspension by Speed Ecom LLP. Speed Ecom LLP may suspend access to the theme, updates, SpeedFly One and support, and where appropriate deactivate the license key, in the event of non-payment persisting 15 days after a formal notice that went unanswered, breach of the prohibitions in article 8.6, or fraudulent use of the license (abusive payment dispute, identity theft). Except in cases of clear fraud, suspension is preceded by written notice and a 15-day period to remedy the breach; it is lifted once the situation is resolved. Outside these cases, the key of a validly acquired lifetime license is never deactivated.

7.6 End of the contract and how the theme works. Subscription license (monthly or annual). The license is checked by Speed Ecom LLP's license server: the theme stops working at the end of the paid period, or at the end of the trial if it is cancelled during the trial. If a payment fails, the theme keeps working during a 7-day grace period (article 6); if the situation is not resolved by the end of that period, the license expires and the theme stops working. The end of the subscription also ends fixes, updates, SpeedFly One and support. Lifetime license. The theme keeps working with no time limit, subject to article 7.5. Fixes, updates and support are included for 12 months, after which extending them is optional, at €97 per year (article 8.3). In all cases, the customer keeps control of their Shopify store, their content and their data, which are hosted by Shopify and can be exported from their Shopify admin.

Article 8Licenses, stores and Pioneer Offer

8.1 Subscription. The subscription grants a personal, non-exclusive and non-transferable license to use Speedfly for the duration of the active subscription. During that time it includes fixes, feature updates, SpeedFly One and support.

8.2 Number of stores and Pioneer Offer. The stores covered must belong to the same license holder. Subscriptions taken out up to and including December 31, 2026 cover an unlimited number of stores (Pioneer Offer), and keep this scope for as long as the subscription remains active, without interruption. An interrupted subscription (cancellation taking effect, or expiry after non-payment) loses the Pioneer Offer; a new subscription follows the conditions in force on its date. Subscriptions taken out from January 1, 2027 cover the number of stores shown on the order page on the date of subscription.

8.3 Lifetime license. The lifetime license grants a personal, non-exclusive and non-transferable license to use Speedfly, with no time limit, on the number of stores shown on the order page on the date of purchase. Its perpetual nature applies to the right to use the theme; it does not cover support, fixes, updates or the publisher's future products. The license includes fixes, feature updates and support for 12 months from its payment. After that, the customer keeps their license and the installed theme continues to work; they may, if they wish, take out annual maintenance at €97 per year, which extends access to fixes, updates and support by 12 months. This maintenance is optional and does not renew automatically.

8.4 Licenses created by the team. A license created by the Speed Ecom team (Agencies plan, payment by bank transfer, complimentary license for a partner) follows the conditions communicated when it is created. A complimentary license is granted for a fixed period and ends at its term, unless a plan is taken out.

8.5 Activation and "Release". A store takes a slot on the license from the first check of the key, by the theme or by SpeedFly One. To switch stores, the customer uses "Release" in their customer area: the store leaves the license, for the theme and for SpeedFly One, and its slot is freed. This is the only reliable way to free a slot. A released store can be reactivated within the limits of the license. Speed Ecom LLP may check, by automated technical means, the number and identity of the stores on which a key is activated, solely to verify compliance with the license.

8.6 Prohibitions. The customer may not resell, assign, sublicense, share or transfer their license or key to third parties; extract the theme's source code to redistribute it or modify it for commercial purposes; or use Speedfly on stores belonging to third parties without Speed Ecom LLP's prior agreement (Agencies plan). No license entails an assignment of intellectual property rights.

Article 9Refunds

The free trial lets the customer test Speedfly on their own store before any payment. After the first charge, the subscription can be cancelled for the future (article 7.2), with no refund for the period already started. A paid lifetime license is not refundable. These rules do not apply in the event of non-delivery or an established breach of contract by Speed Ecom LLP.

Orders placed by a customer acting for business purposes do not fall under the fourteen-day right of withdrawal reserved for consumers (articles L. 221-18 et seq. of the French Consumer Code), subject to any mandatory provisions applicable to a particular case.

Any commercial gesture (discount, extension, credit, refund) remains exceptional, implies no acknowledgement of any obligation and sets no precedent.

Article 10Speedfly Classic: licenses acquired before July 6, 2026

10.1 Two generations. Speedfly Classic means the theme sold up to and including July 5, 2026 (versions 1 to 5), sold as a one-time payment. Speedfly means the theme sold since July 6, 2026, developed independently without substantially reusing the Speedfly Classic code base. This naming has no effect on the rights attached to licenses already acquired.

10.2 Classic licenses. A Speedfly Classic license grants a personal, non-exclusive and non-transferable license to use the theme in the version delivered on the date of acquisition, on the number of stores provided for in the order, with no time limit. It remains vested in its holder.

10.3 Independence of the two products. Speedfly is a standalone product, distinct from Speedfly Classic. It is neither a fix, nor a feature update, nor a technical continuation of the earlier versions. The shared name is solely part of the publisher's brand identity: a Classic license gives no right of access, free or preferential, to Speedfly. SpeedFly One does not update Speedfly Classic.

10.4 Classic maintenance. Development of new Speedfly Classic features ended with version 5.1. Support and security and Shopify compatibility fixes continue, with no set end date. If Speed Ecom LLP decided to end them, the customer would be informed individually by email with six months' notice; the license to use would remain vested.

10.5 Linking and migration. The holder of a Classic license can link it to their account from the customer area ("I have a Classic license to link"). Any migration offer to Speedfly is granted on a purely commercial basis, on terms communicated individually.

Article 11SpeedFly One

SpeedFly One is included with any active Speedfly license, trial included. It is installed from the Shopify App Store, on each store concerned, with the same license key as the theme. It only accesses the store's themes. The updates it offers are prepared on a draft copy of the theme; the customer chooses whether to publish it. The templates it applies contain none of the customer's products or copy.

The customer can disable SpeedFly One on a store, or release that store from their license, from their customer area when these actions are available there. The data the app sends to the customer area is described in the privacy policy; it is deleted when the app is uninstalled.

Article 12Support

Support is provided 7 days a week, by email at contact@speedflytheme.com, via the chat in the customer area and via the "New request" form in the Support tab. The team usually replies within the day, from 9 am to 7 pm (Paris time). A request flagged as urgent (live store no longer working) is handled with priority.

The team replies directly in French and in English. For Spanish, German and Italian, it replies in the customer's language, with a translation reviewed before sending.

An artificial intelligence assistant answers immediately in the chat, based on the guide, the release notes and the FAQ. Its answers are labelled as such and may contain mistakes. It makes no decision about a refund, a cancellation or a commercial gesture, and the customer can ask to talk to the team at any time.

Support covers the installation, settings and proper operation of Speedfly and SpeedFly One. It does not include custom development or the operation of third-party apps.

Article 13Liability

Speed Ecom LLP provides Speedfly and SpeedFly One in accordance with their features published on speedflytheme.com on the date of the order. Any reproducible bug should be reported to support with the information needed to observe it; Speed Ecom LLP chooses to fix it, replace the element concerned or refund the portion of the price corresponding to the service not provided.

Speed Ecom LLP does not guarantee any commercial result (revenue, conversion rate, search ranking, number of sales). Its liability for breach of contract is limited to the amounts actually paid by the customer in the twelve months preceding the event giving rise to the claim. This limitation does not apply in the event of fraud, gross negligence, bodily injury or where the law prohibits it. Speed Ecom LLP is not liable for indirect damage, operating losses or loss of profit, nor for interruptions caused by Shopify, Stripe, its hosting providers or any other third-party provider.

Speed Ecom LLP may change the theme to improve it, fix a bug, strengthen its security or preserve its compatibility with Shopify. The removal of a substantial feature is notified at least 30 days in advance, except in a security emergency or under a constraint imposed by Shopify; the customer may cancel before it takes effect.

Neither party is liable for a failure caused by force majeure within the meaning of article 1218 of the French Civil Code.

Article 14Intellectual property

The code of the Speedfly theme belongs to its author, Khoren Niyazyan. Speed Ecom LLP holds, by contract, the exclusive rights needed to sell it and grant the licenses provided for herein, and indemnifies the customer against any third-party claim based on an infringement of an intellectual property right caused by the theme, provided it is informed without delay. Speed Ecom's trademarks, logos, content, guides and tools remain its property. The customer acquires no right to the source code, the brand or future products beyond the license taken out.

Article 15Affiliate program

Any customer can activate their affiliate link from their customer area by accepting the program's terms. The affiliate receives a commission of 30% of every payment made by the customer they referred, with no time limit, on every offer (monthly, annual, renewals, lifetime license). The rate in force is shown in the customer area; any change applies only for the future.

• A visitor is attributed to the affiliate when they sign up for the trial, through the affiliate's link and a 60-day cookie set only if the visitor accepts measurement cookies. The commission starts with the first real payment, not at the start of the trial.
• Each commission remains "pending" for 30 days after the payment. A refund or payment dispute during that period cancels it.
• Validated commissions are paid out every month, by bank transfer or PayPal, once they reach €50.
• Self-referral, attribution of an existing customer, bidding on the brand and any misleading practice are prohibited; the commissions concerned are held until checked, then cancelled if the abuse is established.

Affiliates act in their own name and cannot bind Speed Ecom LLP, nor grant any guarantee, discount or commitment not set out herein or on speedflytheme.com.

Article 16Personal data

The processing of personal data is described in the privacy policy of speedflytheme.com, drawn up in accordance with the GDPR and the UK GDPR. The data needed to perform the contract is processed on the basis of that performance.

Article 17Governing law and disputes

These terms are governed by French law. In the event of a dispute, the customer first contacts Speed Ecom LLP at contact@speedflytheme.com to seek an amicable solution; a reply is given within 15 working days. Consumer mediation does not apply to these contracts concluded between businesses; contractual mediation may only be started with the written agreement of both parties. Where all parties have contracted as traders, any dispute falls under the exclusive jurisdiction of the courts of Paris.

Article 18General provisions

Changes. Speed Ecom LLP may change these terms for the future. Each version is dated and applies to orders placed from its publication. Customers with a current subscription are informed of any substantial change by email with 30 days' notice; they may cancel before it takes effect.

Evidence and archiving. The computerised records of Speed Ecom LLP and its payment providers constitute evidence of orders, acceptances and payments. Each version of these terms is archived and provided on request.

Providers. Speed Ecom LLP uses providers (Shopify, Stripe, hosting, email delivery, AI assistant) and remains responsible to the customer for the performance of these terms.

Assignment. Speed Ecom LLP may assign the contract, in particular in the event of a transfer of all or part of its business, provided the assignee takes over its obligations; the customer is informed. The customer may not assign their contract or license without prior written agreement.

Entire agreement and severability. These terms, supplemented where applicable by a signed quote, constitute the entire agreement between the parties. A provision declared void does not affect the others.

Language. These terms are written in French and translated into English, Spanish, German and Italian. In the event of any difference between the versions, the French version prevails.
