These General Terms and Conditions govern exclusively the sales of services, digital products, and subscriptions offered by Speed Ecom LLP to business clients.

Article 3Prices and VAT
Speed Ecom LLP caters exclusively to professional clients (B2B), natural persons or legal entities acting for the purposes of their commercial, industrial, craft, freelance, or agricultural activity, including when such activity is in the process of being established. By placing an order, the client declares that they are acting in this capacity and warrants the accuracy of the professional and billing information they provide. This contractual classification does not preclude any mandatory public policy provisions that may be legally applicable.
For online purchases, the amount charged is exactly that displayed on the order page at the time of payment. For quote-based services, whether the price is exclusive or inclusive of taxes is specified on the quote. Speed Ecom LLP may modify its prices for the future, without effect on an already validated order.
VAT: the applicable tax treatment depends on the place of establishment and the tax status of the professional client. The client shall provide accurate billing information and, where available, their VAT number. The invoice indicates the treatment applied, including reverse charge when its legal conditions are met.
For quote-based services (Creation, Redesign, Migration, Système Sphere Program), the final price is determined in the quote or commercial proposal signed by both parties. This quote constitutes the binding offer.
Article 4Formation of the Contract and Ordering Process
Online Purchases (Audit, Speedfly)
Prior to payment, the client can review the essential characteristics of the offer, its price, its duration in the case of a subscription, and these Terms and Conditions. The contract is formed upon validation of the payment. The order constitutes confirmation that the client is acting for professional purposes and acceptance of the Terms and Conditions in their version displayed on that date. A summary email is then sent to the client.
Quote-Based Services (Creation, Redesign, Migration)
The contract is formed upon receipt by Speed Ecom LLP of the quote signed by the client and payment of the agreed deposit, generally set at 50% of the total amount. The balance is due upon delivery, unless otherwise agreed in the quote.
Système Sphere Program
The contract is formed at the end of the discovery call, upon written acceptance of the commercial proposal and settlement of the agreed deposit or full payment.
Ecom Sphere Subscriptions
The subscription taken out on speed-ecom.eu or on an order page issued by Speed Ecom LLP is concluded between the client and Speed Ecom LLP and billed in euros by Stripe on its behalf. Access is provided in La Sphère, Speed Ecom's proprietary platform.
Article 5Payment Terms
Payments are accepted by the following methods:
- Credit or debit card (Visa, Mastercard, American Express) via Stripe - 100% secure SSL payment
- Apple Pay / Google Pay via Stripe
- PayPal (subject to availability)
- Bank transfer (for quote-based services)
5.1. Installment Payments for Coaching Programs
When a coaching program is paid in multiple installments, the agreed price constitutes an overall and indivisible price corresponding to the entirety of the program. Payment in installments is a mere payment facility granted to the client: it does not split either the contract or the service, and does not authorize the client to stop their installments on the grounds that they cease participating in the program.
Acceleration clause. In the event of non-payment of an installment by its due date, and fifteen (15) days after formal notice sent by email has remained without effect, the full remaining balance becomes immediately due and payable. Speed Ecom LLP may then suspend access to resources and sessions until regularized, without such suspension extending the duration of the program.
Suspension and forbearance. Any suspension of an installment, postponement of the payment schedule, or pausing of a program granted to the client, particularly at their request or in consideration of their personal circumstances, constitutes a mere indulgence. They do not constitute a waiver of debt, a waiver of the remaining balance, a termination of the contract, or an acknowledgment of any right to a refund. The balance remains due and payable, and Speed Ecom LLP retains the right to demand payment thereof at any time. Any suspension shall be set out in writing specifying its duration.
Speed Ecom LLP does not store the client's banking data at any time. Payment processing is delegated to Stripe, Inc. (PCI-DSS certified service provider). For sums due from a professional client, any unpaid installment entails, from the day following its due date and without prior reminder, late penalties at the rate applied by the European Central Bank to its most recent refinancing operation plus ten percentage points, which cannot be less than three times the legal interest rate, as well as a fixed indemnity of 40 EUR for recovery costs. Additional compensation may be claimed upon presentation of supporting documents if the costs incurred are higher.
Article 6Withdrawal, cancellation, trial and refund
Business-to-business contracts: orders placed by a client acting for purposes falling within the scope of their commercial, industrial, craft, liberal or agricultural activity do not benefit from the fourteen-day right of withdrawal reserved for consumers under Articles L. 221-18 et seq. of the French Consumer Code. Any mandatory provisions applicable to a specific case remain reserved.
6.1. Right of withdrawal for consumer clients
A client acting for purposes that do not fall within the scope of a professional activity has a period of fourteen (14) days to withdraw, without having to provide reasons for their decision and without incurring any costs other than those set out in Section 6.2. This period runs from the conclusion of the contract for the provision of services and digital content, and from receipt of the goods for physical goods (Article L. 221-18 of the French Consumer Code).
To exercise this right, the client may use the online withdrawal function accessible at speed-ecom.eu/formulaire-retractation/, the standard form reproduced there, or any other unambiguous statement sent to contact@speed-ecom.eu. A time-stamped acknowledgment of receipt is sent to them without delay on a durable medium, in accordance with Article L. 221-21 of the French Consumer Code.
Speed Ecom LLP refunds the amounts paid no later than fourteen (14) days following the date on which it is informed of the decision to withdraw, using the same payment method as the one used for the order, subject to Section 6.2 below.
6.2. Express request for immediate performance and loss of the right of withdrawal
When the consumer client wishes the performance of the service to begin before the expiry of the fourteen-day period, they make an express request on the order page, by means of a statement separate from the acceptance of these general terms and conditions. This request, its content and its timestamp are retained by Speed Ecom LLP and confirmed to the client on a durable medium.
By making this request, the client expressly acknowledges that they lose their right of withdrawal once the service has been fully performed by Speed Ecom LLP, in accordance with Article L. 221-28, 1° of the French Consumer Code.
If the client withdraws after performance has begun at their express request and is not yet complete, they pay Speed Ecom LLP an amount proportional to the service provided up to the communication of their decision to withdraw, relative to the total agreed price, in accordance with Article L. 221-25 of the French Consumer Code. Sessions held, deliverables provided, analyses carried out, access granted and reserved time are taken into account in this respect.
For the supply of digital content not provided on a tangible medium whose performance begins immediately, the right of withdrawal can no longer be exercised once the client has given prior express consent to this immediate performance and has expressly waived their right of withdrawal, under the conditions set out by the French Consumer Code.
6.3. Cancellation, trial and refund
Speedfly with free trial: no amount is debited during the fourteen-day trial advertised on the order page. The client may cancel before the end of the trial from their client area or by email. After the first charge, the subscription may be terminated for the future under the conditions of Article 15, with no refund for the period already started.
Digital products and licenses delivered immediately: as soon as access, the key or the files are made available, the order is fulfilled and is non-refundable, except in the event of failure to deliver or proven contractual breach.
Custom deliverables and services: prior to commencement, any cancellation is governed by the accepted quote or proposal. After performance begins, work completed, time reserved, expenses incurred and deliverables provided remain payable. A fully performed service or custom deliverable provided is non-refundable, except in the event of a proven contractual breach.
Custom Launch Plan: the plan is delivered by email within twenty-four (24) hours following receipt of the complete brief; failing this, the client is fully refunded upon simple request. In addition, Speed Ecom LLP grants a commercial 'money-back guarantee': if the plan provides nothing concrete to the client, the client may request a full refund, without justification, by replying to the delivery email or by writing to contact@speed-ecom.eu within seven (7) days following delivery. As long as the plan has not been delivered, the order may be cancelled at any time by email. This guarantee applies in addition to the provisions of this Article and does not restrict them.
Commercial gestures: any discount, migration, extension, credit note or refund granted on a commercial basis is exceptional, does not imply any recognition of an obligation and creates no precedent for other orders or clients.
Article 7Delivery and access to services
Store & SEO Audit
The audit report is delivered by email to the address specified during the order within 48 business hours following confirmation of payment and receipt of the completed audit form from the client. Speed Ecom LLP cannot start the audit without the necessary information provided by the client through this form.
Custom Launch Plan
After payment, the client completes a brief of approximately three minutes. The plan is delivered by email, on a private page, within 24 hours following receipt of the complete brief.
Shopify Creation, Redesign, Migration
Delivery timeframes are specified in the quote: generally 3 to 4 weeks for a full creation and 2 to 3 weeks for a redesign. These timeframes are indicative and run from receipt of the deposit and all information necessary to start the project. Any delay attributable to the client (late provision of content, access or approvals) automatically results in the postponement of the corresponding delivery timeframe.
Sphere System Program
Access to program resources and scheduling of the first session take place within 5 business days following the formation of the contract. The program takes place over 4 months according to a schedule defined with the client during the kickoff call.
Speedfly
Access to the theme is granted immediately after payment confirmation (or upon expiry of the 14-day free trial period in the case of a paid subscription). The client receives installation instructions by email.
For the perpetual license, the license key and the theme file are sent by email immediately after payment confirmation. The 12-month period of fixes, updates and support runs from this date.
Article 8Support and coaching: obligation of means and financial terms
8.1. Purpose
This Article governs all support and coaching programs marketed by Speed Ecom LLP, regardless of their commercial name or duration. It applies as soon as the contract is formed within the meaning of Article 4, including in the absence of a signed separate contract, confirmation of the order or written acceptance of the commercial proposal constituting acceptance of these terms.
8.2. Nature of the commitment
Speed Ecom LLP is bound by an obligation of means and not an obligation of result. No turnover, earnings, commercial performance, ranking or sales volume is guaranteed. Results depend on factors beyond the control of Speed Ecom LLP, foremost among which are the client's involvement, their market, their budget and the actual implementation of recommendations.
8.3. Client obligations
The client undertakes to actively participate in the scheduled sessions, to provide the necessary information, content and access in a timely manner, and to implement the recommendations provided. The program requires personal work by the client between sessions; Speed Ecom LLP does not replace the client in the operation of their business.
8.4. Commencement of performance and absence of refund
Performance of the program is deemed to have commenced upon the occurrence of the first of the following events: granting access to resources, delivery of the first deliverable, or holding the first session.
From the start of performance, no refund is due, as the price corresponds to a comprehensive and indivisible program within the meaning of Article 5.1. Any interruption of participation by the client, for whatever reason, does not release them from paying the remaining balance and grants no right to a refund of amounts already paid. Any cancellation prior to the start of performance is governed by Article 6 and the accepted commercial proposal.
By confirming their order for a support program, the client expressly requests that performance begin without waiting for the expiry of any right of withdrawal period, in order to benefit immediately from access being granted and the scheduling of their first session. When acting as a consumer, the client expressly acknowledges, under the conditions of Article 6.2, that they lose their right of withdrawal once the service has been fully performed, and that a withdrawal made during performance gives rise to the payment of the proportional amount provided for in Article L. 221-25 of the French Consumer Code.
Interruption of the program by the client, for whatever reason, including a change in personal, professional or financial circumstances, constitutes neither a breach by Speed Ecom LLP, nor an event of force majeure within the meaning of Article 1218 of the French Civil Code, nor grounds for termination giving right to the reimbursement of amounts paid.
8.5. Postponement and client absence
A session may be postponed free of charge if the request is made at least twenty-four (24) hours in advance. A session that the client fails to attend without providing notice within this timeframe is deemed completed and gives rise to neither postponement nor refund.
8.6. Extension guarantee: the sole agreed remedy
If, at the end of the program, no measurable progress is observed despite the client complying with all of their obligations, Speed Ecom LLP extends the support free of charge, for a duration equal to that of the initial program (four months for a four-month program, six months for a six-month program).
This extension constitutes the sole and exclusive remedy agreed between the parties in the event of results deemed insufficient. It cannot be combined with any other claim, and in particular grants no right to a full or partial refund, or to any compensation.
8.7. Conditions for implementing the guarantee
The guarantee provided for in Section 8.6 is subject to the following cumulative conditions:
- active participation by the client in all sessions scheduled in the program;
- documented implementation of the recommendations formulated by Speed Ecom LLP;
- timely provision of the necessary information and access;
- presentation by the client of a quantified progress report at the end of the program;
- written request sent to contact@speed-ecom.eu within fifteen (15) days following the end of the initial program.
The guarantee does not constitute a guarantee of quantified commercial results. It guarantees the free continuation of support under the conditions set out above.
8.8. Deliverables and ownership
The client acquires full ownership of the deliverables created specifically for them once the price has been paid in full, under the conditions of Article 12. The proprietary methods, materials, frameworks and tools of Speed Ecom LLP remain its property and are subject to a strictly personal, non-transferable license of use limited to the duration of the program.
8.9. Confidentiality
Each party undertakes not to disclose non-public information of which it becomes aware in connection with the program. Session recordings, where they exist, are reserved for the client's personal use and may not be distributed, resold or shared.
8.10. End of the program
At the end of the program, access to sessions and individual support terminates. The client retains their deliverables as well as control of their store, content and data. Access to any online resources that may have been included terminates at the same time as the program, unless separately subscribed to.
Article 9Speedfly Licenses
9.1. Definitions
For the purposes of these GTC:
- Patch: intervention intended to restore or maintain the compliant operation of the theme within its existing functional scope, in particular in the event of an anomaly, security vulnerability, or update to the Shopify platform.
- Feature update: delivery of new features within the same codebase.
- New product: software developed independently, without substantial reuse of the codebase of an earlier product, and marketed under its own contract and pricing terms, regardless of its commercial name.
A right relating to one of these categories does not extend to the others. The commercial name of a product does not determine its identity: the subject matter of the contract is defined by the technical and functional specifications described on the sales page on the date of the order.
9.2. Speedfly Subscription (monthly or annual)
The Speedfly subscription grants the client a personal, non-exclusive, and non-transferable license to use the Speedfly Shopify theme, for the duration of the active subscription. During this same duration, it includes patches, feature updates, and support.
Number of stores covered: subscriptions taken out up to and including 31 December 2026 cover an unlimited number of Shopify stores belonging to the same license holder, and retain this scope for as long as the subscription remains active without interruption. Subscriptions taken out from 1 January 2027 cover 1 store (monthly plan) or 3 stores (annual plan).
Cancellation of the subscription results in the loss of access to patches, updates, and support. The theme already installed may continue to function on the client's store, without patches, updates, or support.
9.3. Speedfly Perpetual License (397 €)
The perpetual license grants the client a personal, non-exclusive, and non-transferable license to use the Speedfly Shopify theme, without time limitation, on 3 Shopify stores belonging to the license holder.
What the perpetual nature covers exactly: it applies to the right to use the theme, which is subject to no expiry term. It does not apply to support, patches, feature updates, or future products of the publisher, which fall under the maintenance service defined below.
The perpetual license includes, for 12 months from the date of purchase: patches, feature updates, and support.
Upon expiry of these 12 months, the client retains their license to use and the installed theme continues to function. The client may then, if they wish and without being required to do so, subscribe to Speedfly annual maintenance at the price of 97 € per year, which extends access to patches, feature updates, and support by twelve months. This subscription is optional and renewable.
The perpetual license grants no right of access, whether free or preferential, to future products of the publisher marketed under a separate contract, including when these are released under an identical or similar name.
9.4. Prohibitions Common to All Licenses
The client is expressly prohibited from:
- Reselling, assigning, sublicensing, or transferring access to Speedfly to third parties
- Extracting the source code of the theme to redistribute or modify it for commercial purposes
- Using Speedfly on stores belonging to third parties without prior agreement from Speed Ecom LLP
None of the licenses referred to in this article entails any transfer of intellectual property rights, in accordance with Article 12.
Article 9 bisSpeedfly Classic: Licenses Acquired Before 6 July 2026
9 bis.1. Designation of the Two Generations
In order to remove any ambiguity between the two generations of the theme, the publisher now designates them as follows:
- Speedfly Classic: the theme marketed up to and including 5 July 2026, corresponding to versions 1 to 5, sold for a one-off payment.
- Speedfly: the theme marketed since 6 July 2026, developed independently without substantial reuse of the codebase of Speedfly Classic, offered by subscription or as a perpetual license under the terms of Article 9.
This designation constitutes a measure of commercial and documentary clarity. It has no effect on the scope, validity, or rights attached to licenses already acquired, which remain governed by the conditions applicable on the day of their acquisition, as specified in this article.
9 bis.2. Scope of Speedfly Classic Licenses
Speedfly licenses acquired by one-off payment prior to 6 July 2026 grant a personal, non-exclusive, and non-transferable license to use the theme in the version delivered on the day of acquisition, on the number of stores specified at the time of the order, without time limitation. This license to use remains vested in its holder and is not challenged by these terms.
9 bis.3. Independence of the Two Generations
The Speedfly theme marketed from 6 July 2026 constitutes a standalone product distinct from Speedfly Classic. It was developed independently by a new author, without substantial reuse of the legacy codebase, for the current Shopify architecture. It constitutes neither a patch, nor a feature update, nor a technical continuation of earlier versions, within the meaning of the definitions in Article 9.1.
The name 'Speedfly', common to both products, is solely part of the publisher's brand identity. It entails no product identity, no contractual continuity, and no migration right. Consequently, holding a license acquired before 6 July 2026 grants no right of access, whether free or preferential, to the theme marketed since that date.
9 bis.4. Maintenance of Speedfly Classic
The development of new features for Speedfly Classic ended with version 5.1. The acquired license to use remains unchanged and without time limitation.
What continues: support and Shopify security and compatibility patches continue to be provided as needed, without a predefined end date. No new features have been added since version 5.1 published on 1 March 2026.
If Speed Ecom LLP should subsequently decide to terminate this indefinite maintenance, this decision would be subject to individual notification by email with six months' notice. The license to use would remain retained after this period.
This article documents the current situation without retroactively modifying the pricing terms, scope, or rights attached to prior orders.
9 bis.5. Migration Offer
A migration offer to the theme marketed since 6 July 2026 is offered to holders of earlier licenses. This offer is granted purely as a commercial gesture and without acknowledgement of any right to this product, under terms, pricing, and a validity period communicated individually.
Article 10La Sphère Premium: Trial, Subscription, and Cancellation
Parties to the contract. The La Sphère Premium subscription taken out from speed-ecom.eu or from an order page of Speed Ecom LLP is entered into between the client and Speed Ecom LLP. Billing is carried out in euros by Stripe acting on its behalf, and these GTC apply in full. Access is provided in La Sphère, the proprietary platform of Speed Ecom. The client identifies their subscription channel by the descriptor of the charge on their bank statement and by the issuer of their receipts.
By way of exception, a subscription taken out directly on the Skool platform is entered into with Skool Inc. and subject to its Terms of Service.
7-day public trial. A payment card is requested upon activation, but no amount is charged during the trial. Unless cancelled before its expiry, the monthly subscription starts automatically at the price displayed on the order page.
Duration, renewal, and cancellation. After the trial, the subscription is entered into for one month, tacitly renewable from month to month until cancelled. Articles 15.1, 15.2, and 15.3 are fully applicable to it. An invoice is sent by email at each renewal date.
How to cancel. At any time, without reason or penalty, directly within La Sphère under the 'My subscriptions' section, or by email sent to contact@speed-ecom.eu from the email address associated with the subscription. A request made through another channel, including a private message on social media, does not constitute a valid cancellation.
Effects. During the trial, cancellation is immediate and no charge is made. After the first payment, it takes effect at the end of the current monthly period. In both cases, the account remains open free of charge with access to the community and free content; training courses, live sessions, replays, private messages, and services reserved for Premium lock at the end of the Premium entitlement.
Speed Ecom LLP reserves the right to modify the content of La Sphère or to discontinue its operation with 30 days' notice.
Article 11Liability and Warranties
11.1. Contractual Compliance
Speed Ecom LLP provides the product or service in accordance with the essential characteristics published on the sales page and these T&Cs in their version applicable to the order. Any reproducible defect must be reported to contact@speed-ecom.eu with the information required to identify it. Depending on the nature of the failure, Speed Ecom LLP chooses to correct, replace, re-perform, or refund the portion of the price corresponding to the service not provided.
11.2. Scope of Liability
Speed Ecom LLP warrants that the services will be performed with appropriate care and professional diligence, in accordance with industry standards. However:
- Speed Ecom LLP does not guarantee any specific commercial results (revenue, conversion rate, SEO ranking, number of sales) - except under the Sphere System warranty defined in Article 8.
- Speed Ecom LLP's liability for a breach of contract is limited to the amounts actually paid by the client for the service concerned during the twelve (12) months preceding the event giving rise to liability. This limitation does not apply in the event of wilful misconduct, gross negligence, personal injury, breach of privacy, breach of essential contractual obligations, or where prohibited by law.
- Speed Ecom LLP cannot be held liable for indirect damages, operating losses, loss of profits, or commercial harm resulting from the use of its services.
- Speed Ecom LLP is not liable for service interruptions related to Shopify, Stripe, its hosting providers, or any other third-party provider.
Force majeure: neither party may be held liable for the non-performance or delay in the performance of its obligations resulting from a force majeure event within the meaning of Article 1218 of the French Civil Code, meaning an event beyond its control, which could not reasonably have been foreseen at the time the contract was concluded, and whose effects cannot be avoided by appropriate measures (natural disaster, major cyberattack, widespread network failure, decision by a public authority). The affected party shall notify the other without delay. Deadlines will be extended accordingly. If the impediment continues for more than thirty (30) days, either party may terminate the contract in writing, without compensation, and any sums corresponding to unperformed services will be refunded.
Article 12Intellectual Property
The client acquires full ownership of the deliverables created specifically for them (custom Shopify store, written content, created visuals) once payment has been received in full by Speed Ecom LLP.
Speed Ecom LLP retains all rights to its proprietary tools, methodologies, templates, training materials, content, trademarks, and distinctive signs. The code for the new Speedfly theme belongs to its author, Khoren Niyazyan. Speed Ecom LLP contractually holds the exclusive rights necessary to market this theme and grant the user licences provided for herein. The client acquires no rights to the source code, the trademark, or future products beyond the licence expressly purchased.
The client authorizes Speed Ecom LLP to mention their store as a commercial reference (portfolio, testimonials) unless they object in writing within 30 days following delivery.
Article 13Personal Data
The processing of personal data collected under these T&Cs is governed by Speed Ecom LLP's Privacy Policy, established in accordance with the GDPR (EU Regulation 2016/679) and the UK GDPR. The data necessary for the performance of the contract is processed on the legal basis of contractual performance.
Article 14Applicable law, disputes and mediation
Applicable law
These Terms and Conditions are governed by French law.
Amicable settlement
In the event of a dispute, the client is invited to contact Speed Ecom LLP first by email at contact@speed-ecom.eu in order to reach an amicable solution. Speed Ecom LLP undertakes to reply within 15 business days.
Mediation
B2B contracts: consumer mediation as provided for under Articles L.612-1 et seq. of the French Consumer Code does not apply to contracts concluded within the scope of these Terms and Conditions, which are entered into exclusively between professionals. Speed Ecom LLP has therefore not designated any consumer mediator for these professional offerings.
Contractual mediation between professionals may only be initiated with the written agreement of both parties designating the mediator, the applicable mediation rules, and the sharing of its costs. A unilateral request, commercial discussions, silence, or an offer of a commercial gesture shall not constitute acceptance of any specific mediation.
Competent jurisdiction
COMPETENT JURISDICTION: where all parties have contracted in their capacity as merchants, any dispute relating to the validity, interpretation, performance, or termination of the contract falls under the exclusive jurisdiction of the courts of Paris, including in the event of multiple defendants or third-party claims. In all other cases, ordinary rules of jurisdiction apply.
Amendment of the Terms and Conditions
Speed Ecom LLP reserves the right to amend these Terms and Conditions for the future. Each version bears a date and applies to orders placed from the time of its publication. It does not retroactively modify a prior order. Clients with an ongoing subscription are informed of any material amendment by email with thirty (30) days' prior notice; they may terminate before its effective date if they reject it.
Article 15Term, renewal, price revision and termination
15.1. Term and renewal of subscriptions
The Speedfly subscription is taken out for a period of one month or one year depending on the chosen plan, and renews automatically by tacit renewal for periods of identical duration, until termination. The Ecom Sphere Premium subscription is taken out for a period of one month and renews under the same conditions. This article applies to all subscriptions marketed by Speed Ecom LLP.
The date of the next billing cycle and the chosen frequency can be accessed in the client area. It is the responsibility of the professional client to terminate prior to the renewal date if they do not wish for it to renew.
15.2. Termination by the client
The client may terminate their subscription at any time, without cause and free of charge, from their client area or by email to contact@speed-ecom.eu. The request takes effect upon receipt in order to prevent any upcoming charges that can still be avoided; access remains active until the end of the paid period, and no pro rata temporis refund is due for the period already underway.
The Speedfly annual maintenance (97 €/year) is a one-off twelve-month service: it does not renew automatically and must be subscribed to again by the client if they wish to extend it.
15.3. Price revision
Speed Ecom LLP may modify its prices. Any price revision applicable to an ongoing subscription is notified to the client by email with at least thirty (30) days' notice prior to taking effect. A client who rejects the new price may terminate their subscription free of charge before it takes effect; failing termination, the new price applies starting from the following billing cycle. The price applicable to an already acquired perpetual licence is never modified.
15.4. Termination by the publisher, suspension and licence deactivation
Speed Ecom LLP may suspend access to the theme, updates, and support, and if necessary deactivate the licence key, in the following situations:
- unpaid amounts persisting fifteen (15) days after a formal notice has remained without effect;
- breach of the prohibitions set forth in Article 9.4 (resale, assignment, sharing, extraction of source code, use on third-party stores);
- fraudulent use of the licence, abusive payment dispute, or identity theft.
Suspension is preceded by written notice stating the alleged breach and, except in the case of manifest fraud, a period of fifteen (15) days to remedy it. It is lifted as soon as the situation is rectified. In the event of a serious breach or a breach not remedied within this period, Speed Ecom LLP may terminate the contract automatically, without prejudice to any damages.
Except in the cases listed above, the deactivation of a validly acquired perpetual licence key cannot take place.
15.5. Verification of licence scope
Speed Ecom LLP may verify, by automated technical means, the number and identity of Shopify stores on which a licence key is activated, for the sole purpose of verifying compliance with the subscribed scope. In the event of an overrun, the client is invited to regularise the situation within fifteen (15) days by acquiring the necessary additional licences.
15.6. Feature changes and removals
Speed Ecom LLP may modify the theme to improve it, fix a defect, enhance its security, or maintain its compatibility with Shopify. The removal of a substantial feature adversely affecting the primary use is notified with at least thirty (30) days' notice, except in cases of security emergencies or constraints imposed by Shopify. The client may terminate before this modification takes effect; no refund is due for any period already elapsed.
15.7. Status of the theme after contract termination
At the end of a subscription, the client retains full control of their Shopify store, its content, and its data, which are hosted by Shopify and remain exportable from their Shopify admin. The installed theme may continue to operate as is, without patches, updates, or support, subject to Article 15.4.
Article 16General provisions
16.1. Acceptance, evidence and archiving
Acceptance of these Terms and Conditions results from the confirmation of the order by the client, with these Terms being permanently accessible from each order page as well as from the footer of the site, prior to payment. The parties agree that the electronic records of Speed Ecom LLP and its payment processors, stored under reasonable security conditions, constitute proof of orders, acceptances, and payments. Speed Ecom LLP archives each version of these Terms and Conditions with its online publication date and provides it upon simple request to contact@speed-ecom.eu.
As an evidentiary policy, Speed Ecom LLP keeps relevant materials relating to orders for ten (10) years: the dated version of the Terms and Conditions, confirmation, invoices, payment references, and available technical logs. The client may request a copy of the contractual documents concerning them.
16.2. Warranty against eviction
Speed Ecom LLP warrants that it holds all rights necessary to grant the licences set forth herein. It indemnifies and holds harmless the client against any third-party action based on an infringement of an intellectual property right arising from the Speedfly theme, provided that the client notifies it without delay, grants it control of the defence, and refrains from making any admission of liability. Speed Ecom LLP may, at its option, obtain the right to continue use, replace or modify the disputed element, or refund the amounts received for the licence in question.
16.3. Subcontracting and service providers
Speed Ecom LLP uses third-party service providers to perform its services, notably Shopify, Stripe, as well as hosting providers and email delivery services. It remains responsible for the performance of these Terms towards the client, subject to Article 11. The processing of personal data by these providers is detailed in the privacy policy.
16.4. Assignment of the contract
Speed Ecom LLP may assign or transfer the contract, in particular in the event of a merger, contribution of assets, or sale of all or part of its business, provided that the assignee assumes the obligations remaining to be performed. The client shall be notified thereof. The client may not assign the contract or their licence without the prior written agreement of Speed Ecom LLP.
16.5. Commercial references and customer reviews
The client authorizes Speed Ecom LLP to mention their store as a commercial reference, unless written objection is sent within thirty (30) days following delivery. Reviews published on the site come from clients who have actually purchased the product or service concerned; they receive no consideration and are published without changes to their content, with the exception of the removal of unlawful statements. The date of the review and, where applicable, the date of the experience concerned are indicated.
16.6. Affiliate programme
Affiliates and partners of Speed Ecom LLP act in their own name and have no authority to bind Speed Ecom LLP, nor to grant warranties, discounts, or commitments that do not appear herein or on the official pages of speed-ecom.eu. Only the specifications and terms published on speed-ecom.eu on the date of the order are binding on Speed Ecom LLP.
16.7. Entire agreement, severability, waiver, language
These Terms and Conditions, supplemented where applicable by the signed quote or commercial proposal, constitute the entire agreement between the parties regarding their subject matter. If any provision is declared null, deemed unwritten, or unenforceable, the remaining provisions shall retain their full force and effect, and the parties shall negotiate in good faith a replacement clause of equivalent effect. The failure of either party to enforce any breach shall not constitute a waiver of the right to enforce it subsequently. These Terms are drawn up in French; in the event of any translation, the French version shall prevail.
